Terms

Terms for the sale and provision of ZasuwAI services by electronic means at zasuwai.pl/en. Version 2026-09-30.

These Terms set out the rules for ordering, paying for and using ZasuwAI services by business customers, including the terms of the automatically renewing subscription, setup, termination of the contract and complaints.

Article 1. Definitions

  1. Service Provider (Seller) – USŁUGI BIZNESOWE PIOTR KLESZCZEWSKI, a business run by Piotr Kleszczewski, address: ul. Pokorna 2/316, 00-199 Warsaw, Poland, tax identification number (NIP) 5252998288, REGON 528223040, email: kontakt@zasuwai.pl.
  2. Website – the website zasuwai.pl/en with all its pages, including the order form.
  3. Customer – a legal person or other business entity, established in any country, that places an order. Under these Terms the services are provided to business customers only; they are not provided to consumers.
  4. Service – the preparation, setup and maintenance of a digital assistant based on artificial intelligence (an AI agent) that serves the Customer's customers in the channels indicated by the Customer.
  5. Package – a defined scope of the Service (Start, Pro, Max, Premium), described on the Website and in Article 3.
  6. Subscription – a periodic fee for maintaining and running the Service.
  7. Setup – the one-off work of configuring and launching the AI agent for the Customer.

Article 2. General provisions

  1. The Terms are available free of charge on the Website; they can be downloaded, reproduced and saved.
  2. To use the Website, a device with internet access, an up-to-date browser and a working email address are sufficient.
  3. The Customer undertakes to use the Website and the Service in accordance with the law and to provide true data.
  4. The Service Provider can be contacted by email at kontakt@zasuwai.pl.

Article 3. Services and packages

  1. The Service Provider supplies the Customer with a digital AI assistant that answers the questions of the Customer's customers, advises them and helps them decide to buy, collects contact details and passes more complex questions on to a human.
  2. The available packages, their prices, limits and scope are published on the Website. On the day these Terms were published, the following apply:
    • Start – €139 per month and a one-off setup of €349, up to 4,000 messages per month, 2 written channels of your choice.
    • Pro – €229 per month and a one-off setup of €469, up to 15,000 messages per month, all written channels, shop integration, upselling and recommendations.
    • Max – €469 per month and a one-off setup of €589, up to 30,000 messages per month, all written channels, and also Voice, email service, multilingual service and shop integration.
    • Premium – the scope and price are set individually, by a separate agreement with the Customer.
The Service Provider may also offer the Customer another package under an individual agreement.
  3. The Customer may choose additional services (among others an additional channel, Voice, email service, shop integration, multilingual service, urgent setup) according to the price list shown in the order form. An additional service may involve a one-off setup fee, a monthly fee or both, in the amount shown in the order form.
  4. The limit is the number of messages handled by the AI agent in a billing period. The limit may be exceeded by up to 20% at no charge. Above that threshold, the Service Provider charges additional conversation packs at €19 for every started 100 conversations, or offers a move to a larger package.
  5. Phone calls with the "Voice" add-on are accounted for separately: 200 minutes per month are included in the price of the add-on, and each further started minute costs €0.35.
  6. All prices on the Website are excl. VAT. Where the Customer is a company from an EU country other than Poland with a valid EU VAT number, the place of supply is the Customer's country of establishment, so the VAT is accounted for and paid by the Customer under the reverse charge procedure (Article 196 of Council Directive 2006/112/EC). Where the Customer has no valid EU VAT number (including a company from outside the EU), 23% Polish VAT is added to the prices, and it is accounted for and paid by the Service Provider.

Article 4. Conclusion of the contract and placing an order

  1. An order is placed in the order form on the Website: the Customer chooses a package and additional services, provides the company details, including the company registration number and the EU VAT number (or states that the company has no EU VAT number), and accepts the Terms.
  2. The presentation of packages on the Website is an invitation to conclude a contract, not an offer.
  3. The contract is concluded once the payment has been made successfully through the payment provider and the Service Provider has confirmed the order to the email address given by the Customer.
  4. After the contract is concluded, the Service Provider contacts the Customer about the details of the setup.

Article 5. Payments and the renewing subscription

  1. Payments are handled by an external payment provider, Stripe. The available payment methods include, among others, payment card, Apple Pay and Google Pay.
  2. When the order is placed, the Customer pays the fee for the one-off setup, the chosen additional services and the first Subscription period.
  3. When ordering, the Customer chooses the billing period: monthly or annual. If the annual period is chosen, the Customer pays in advance the price of ten months of the Subscription, and the Service is provided for twelve months.
  4. The Subscription is periodic and renews automatically for the same billing period. The Customer agrees that the saved payment method will be charged the Subscription amount periodically until the contract is terminated.
  5. Further billing periods begin on the day of the month that corresponds to the day of the first Subscription payment. If there is no such day in a given month, the payment is charged on the last day of that month.
  6. An annual fee paid in advance is not refunded or reduced proportionally if the Customer gives up the Service during that period. The annual billing discount is granted for paying for the whole period in advance.
  7. If a payment cannot be charged, the Service Provider may try again. If the fee is not paid, the operation of the Service may be suspended until the arrears are settled.
  8. For each payment the Service Provider issues an invoice and sends it to the Customer's email address. For a Customer with a valid EU VAT number from an EU country other than Poland, the invoice is issued without VAT with a reference to the reverse charge. For a Customer without a valid EU VAT number, 23% VAT is added to the list prices and the invoice is issued with VAT.
  9. Subscription prices may change. The Customer is informed of a price change no later than one billing period in advance. If the Customer does not agree to the change, the Customer may terminate the contract with effect from the end of the paid period.

Article 6. Setup and performance

  1. The usual setup time is 7 working days from the day the Customer provides the material and access needed for launch. If urgent setup is chosen, the setup is carried out within 48 working hours.
  2. The Customer undertakes to cooperate, among other things by providing information about its offer, the questions customers ask most often and the necessary access. A delay on the Customer's side extends the setup time accordingly.
  3. The Customer is responsible for the content, data and material provided for configuring the agent being correct and lawful.
  4. The Service is provided remotely and does not require installing software on the Customer's side, other than placing a given code snippet or connecting the indicated channels.
  5. The AI agent communicates with the Customer's customers in English, and in other languages if multilingual service has been ordered.

Article 7. Setup fee refund guarantee

  1. For orders placed through the Website from 2026-09-24, the Service Provider gives a voluntary setup fee refund guarantee (the "Guarantee"): if within 14 calendar days of the conclusion of the contract the AI agent is not ready, the Service Provider refunds the setup fee on the terms set out in this Article.
  2. The AI agent is considered ready when, in the chat window, and where the "Voice" add-on has been ordered, also in a test voice conversation, it correctly answers questions about the basic information about the Customer's company: the products or services offered, prices, opening hours, contact details, and the delivery or service terms that the Customer provided to the Service Provider or that are published on the website given by the Customer. Readiness is assessed using the test link supplied by the Service Provider.
  3. The Guarantee does not cover the connection and operation of third-party platforms, applications and services, among others: shop platforms (e.g. Shopify, WooCommerce, PrestaShop), WhatsApp, Meta services (Messenger, Instagram, Facebook), Telegram, mailboxes, calendars, phone numbers and telecom operators, as well as the verification and approval procedures of those parties. Their readiness depends on third parties and is not assessed under paragraph 2.
  4. The 14-day period does not include the time when the Service Provider is waiting for the Customer's information, material, access, reply or approval (Article 6, paragraph 2). The Guarantee does not apply if within 14 days of the conclusion of the contract the Customer has not provided information about its offer and has not given the website where it is published.
  5. To use the Guarantee, the Customer submits a request by email to kontakt@zasuwai.pl no later than 7 days after the end of the 14-day period, stating which questions about its company the AI agent does not answer correctly. The Service Provider examines the request within 5 working days.
  6. If the request is found justified, the Service Provider refunds within 14 days, by the same payment method, the setup fee for the Package paid by the Customer, and where the "Voice" add-on was ordered, also its setup fee. One-off fees for other additional services and Subscription fees are not refunded under the Guarantee. After the setup fee is refunded, the contract is terminated and the Subscription is no longer renewed.
  7. The Guarantee applies once per Customer (by company registration number). It is a voluntary commitment of the Service Provider and does not limit the Customer's rights that cannot be limited under mandatory provisions of law.
  8. The Guarantee is not, and does not replace, the consumer's right to withdraw from a distance contract within 14 days: the Services are provided to business customers only (Article 1, paragraph 3).

Article 8. Term, termination and cancellation

  1. The contract is concluded for an indefinite period, with the monthly or annual billing period chosen by the Customer when ordering (Article 5, paragraph 3).
  2. The Customer may cancel the Subscription at any time by sending a notice to kontakt@zasuwai.pl. The cancellation takes effect at the end of the current paid billing period, and the Subscription is not renewed for the next period.
  3. Fees for a billing period that has begun and the setup fee are not refunded, except for the Guarantee set out in Article 7.
  4. The Service Provider may terminate the contract with immediate effect if the Customer seriously breaches the Terms, in particular if the Service is used in breach of the law.

Article 9. Complaints

  1. Complaints may be submitted to kontakt@zasuwai.pl, stating the Customer's details, a description of the problem and the preferred way of resolving it.
  2. The Service Provider examines the complaint within 14 days of receiving it and informs the Customer of the decision at the Customer's email address.
  3. The Service Provider makes an effort to ensure the Service works properly and remedies the reported defects within a reasonable time.

Article 10. Scope of operation of the AI agent and liability

  1. The AI agent is a tool based on language models. Despite due care, its answers may contain errors or inaccuracies, and they are not legal, medical, financial or other professional advice.
  2. The Customer is responsible for how the Service is used in its business, including the content and the offer on which the agent bases its answers.
  3. The Service Provider does not guarantee specific sales results or the effectiveness of the agent, because they depend on the Customer and on market factors.
  4. To the extent permitted by law, the Service Provider's liability to the Customer is limited to the amount the Customer paid in the three months before the event that caused the damage. The limitation does not apply to damage caused intentionally.
  5. The Service Provider is not liable for interruptions caused by the actions of third parties, including payment providers and suppliers of communication channels and infrastructure, or for force majeure.

Article 11. Personal data and processing of data on behalf of the Customer

  1. The principles of processing personal data for which the Service Provider is the controller are described in the Privacy Policy, and the principles of using cookies in the Cookie Policy.
  2. The controller of the personal data of the Customer's customers and of other persons who contact the Customer through the channels served by the agent is the Customer. The Service Provider processes this data on behalf of the Customer as a processor under Article 28 GDPR. Paragraphs 2 to 9 of this Article are a data processing agreement.
  3. The data is processed to provide the Service for the whole term of the contract and until it is deleted under paragraph 9. The processing covers conversations conducted by the AI agent, storing the conversation history, passing questions on to the Customer, handling bookings and reminders, and using the connected channels and the Customer's shop, including checking order status and sending abandoned cart reminders, to the extent the Customer has enabled this.
  4. The following data is processed: first and last name, email address, phone number, identifiers in the communication channels, the content of messages, recordings and transcripts of phone calls ("Voice" add-on), booking data, order numbers and statuses, and the content of abandoned carts. The data subjects are the Customer's customers and prospective customers and other persons who contact the Customer.
  5. The Service Provider processes the data only on the Customer's documented instructions, which are these Terms and the Service settings in the account, including the transfer of data to third countries described in the Privacy Policy. If the Customer's instruction infringes data protection law, the Service Provider informs the Customer without delay.
  6. The Service Provider gives access to the data only to authorised persons who are committed to confidentiality, and applies the security measures required by Article 32 GDPR, including encryption of data at rest and in transit, role-based access control and backups. The Service Provider assists the Customer in responding to data subjects' requests and in meeting the obligations under Articles 32 to 36 GDPR, provides the information necessary to demonstrate compliance with Article 28 GDPR, and allows for audits at an agreed time and of an agreed scope.
  7. The Customer gives a general authorisation for the Service Provider to use the other processors named in the Privacy Policy. The Service Provider notifies the Customer of any intended change of them at least 14 days in advance, and the Customer may object. The Service Provider imposes the same data protection obligations on other processors as those in this Article.
  8. The Service Provider notifies the Customer of a personal data breach without undue delay, and no later than 48 hours after establishing it, and provides the information the Customer needs for its notification to the supervisory authority.
  9. After the provision of the Service ends, the Service Provider, at the Customer's choice, returns the data to the Customer or deletes it within 30 days, unless the law requires it to be kept longer.

Article 12. Final provisions

  1. The Service Provider may change the Terms for important reasons, in particular a change in the law, in the scope of the Service or in payment methods. The Customer is informed of the changes by email at least 14 days in advance. For contracts already concluded, the version of the Terms accepted at the time of ordering applies, unless the Customer agrees to the new version.
  2. These Terms and the contract are governed by Polish law.
  3. Disputes are resolved by the court competent for the registered office of the Service Provider.
  4. The Terms are effective from 2026-09-30.
